Corporations Canada begins Notices of Intent to Dissolve for CNCA corporations that have not filed 3 years Annual Returns

I received this note from Corporations Canada on Friday July 7, 2023:

Just want to mention that today is Day 1, we have issued our first “Notices of intent to Dissolve“ under the NFP Act to corporations that are in default of filing their Annual Returns for 3 consecutive years.

You should be able to view the list of corporations in “pending-dissolution“ status in our Monthly transactions, similarly to the ones published under the CBCA Notice of Intent to Dissolve by Corporations Canada (CBCA).

Note that the first publication would be available by end of August. (CC always publish the precedent month)

We have discussed this initiative in two previous blog posts:

Corporations Canada will begin issuing Notices of Intent to Dissolve to CNCA non-profit corporations that have not filed their Annual Return in 3 years or more (March 24, 2023)

Corporations Canada announces dissolution program will be launched in July for CNCA corps that have not filed their Annual Return in 3 years (June 25, 2023)

It makes sense that groups who have not filed their Annual Return for three years and have been reminded about it by Corporations Canada should be automatically dissolved. This will help many groups that have been dormant for many years to be dissolved automatically instead of undertaking a large amount of work to obtain a certificate of dissolution.
