There is some confusion about NUANS searches and incorporation under the new Canada Not-for-profit Corporations Act (“CNCA”). When a member of the public is going to be incorporating a CNCA corporation, the Corporations Canada Online Filing Centre allows for both a NUANS search and incorporation as a one-stop shop. This may be helpful for some.
However, for a registered intermediary (i.e. groups that have an account and complete filings on behalf of multiple corporations such as law firms), the registered intermediary does not need to obtain NUANS report through the online filing centre. The registered intermediary can just order the reports through the NUANS system itself as it has always been done. For intermediaries, it is a little different than just a member of the public incorporating a CNCA corporation in that the intermediary will often want to do the NUANS search, have the client approve the NUANS search and then sometimes obtain a name pre-approval before even filing the incorporating documents.

Changes to the corporate name proposal process are now in effect
Further to the email we sent you on July 14, 2023, we are informing you that the changes to the corporate name proposal process are now in effect. We have further integrated the Nuans name search report with our Online Filing Centre (OFC) in an ongoing effort to improve client service. Going forward, clients filing under the Canada Business Corporations Act (CBCA) and the Canada Not-For-Profit Corporations Act (NFP Act) who need to obtain a name search report for services that require a name approval (listed below) must purchase it through the OFC.
Nuans name search reports bought in the last 90 days will not be accepted. Clients may contact Corporations Canada for support. Going forward, clients have to use the new process with the integrated name search for the services listed below.
The Nuans name search application is now integrated with the following transactions that require a name approval and/or allow the use of a corporate name preapproval:
- Corporations incorporated under the CBCA or NFP Act:
- Incorporation;
- Corporate name preapproval.
- Corporations incorporated under the CBCA:
- Amendment;
- Import continuance;
- Amalgamation.

Nous avons intégré davantage le rapport Nuans de recherche de dénominations à notre Centre de dépôt en ligne dans le cadre de nos efforts d’amélioration continue du service à la clientèle. Désormais, les clients déposant des documents en vertu de la Loi canadienne sur les sociétés par actions (LCSA) ou de la Loi canadienne sur les organisations à but non lucratif (Loi BNL) qui ont besoin d’un rapport de recherche de dénominations pour l’un des services nécessitant une approbation de dénomination (voir liste ci-dessous) doivent l’acheter en passant par le Centre de dépôt en ligne, et non pas Nuans.
Les rapports Nuans de recherche de dénominations achetés dans les derniers 90 jours ne seront pas acceptés. Les clients peuvent communiquer avec Corporations Canada pour obtenir du soutien. À l’avenir, les clients devront utiliser la nouvelle procédure avec la recherche de dénominations intégrée pour les services indiqués ci-dessous.
L’application de recherche de dénominations Nuans est maintenant intégrée aux transactions suivantes qui exigent une approbation de dénomination et/ou permettent l’utilisation d’une préapprobation de dénomination sociale :
- Sociétés constituées en vertu de la LCSA ou de la Loi BNL :
- Incorporation;
- Préapprobation de dénomination sociale.
- Sociétés constituées en vertu de la LCSA :
- Modification;
- Prorogation (importation);
- Fusion.
