Ontario government discusses improvements to the Ontario Business Registry (OBR) and new features

Some new features were recently added to enhance the Ontario Business Registry (OBR) system.  One of the main features includes a Proof of Filing Document made available when filing an Initial Return / Annual Return / Notice of Change under the Corporations Information Act for corporations under the Ontario Not-for-profit Corporations Act (ONCA).  The Proof of Filing document is made available to download when getting a confirmation email from the Ontario Ministry indicating the filing was processed.  However, it should be noted that the Proof of Filing document is not a complete copy of the form that was filed.  The Proof of Filing document only shows the changes being made from the filing, such as any changes being made to the directors or officers (i.e. updating an address for service, removing or adding a director/officer).

If changes are being made to the Primary Activity Code or Official Email Address, such changes are not produced on the Proof of Filing Document.  While it is good that the Ministry is producing such a document outlining the changes being made, it does not show a complete list of the current directors and officers, so one would need to either log on to the corporation’s profile using a company key (which you must be authorized to do so) or obtain a Profile Report which comes with a fee of $8.

Recent updates to the OBR system include:

·         New Proof of Filing Document: Now available for the Corporations Information Act (CIA) when filing Initial Return, Annual Return, or Notice of Change for corporations under the Business Corporations Act (BCA) and Not-for-Profit Corporations Act (NFPCA). Note: Updating the corporation’s/entity’s official email address or primary activity code will not generate a Proof of Filing Document.

·         Rich Text Editor Functionality: Added to the Purposes & Provisions sections of NFPCA – Articles of Reorganization, enabling formatting and increasing the character limit to 900,000 characters.

·         Corrected Certificate List Update: BCA & NFPCA Restated Articles of Incorporation have been added.

·         Automatic Email Address Updates: Updating the official email address of an entity (corporation or partnership) will now automatically update the official email address for all its associated entities (business name for corporation or partnership).

·         Incorporator Section Update: An additional selection has been added to the ‘Incorporator’ section of BCA & NFPCA Articles of Incorporation, allowing entities to be Incorporators without requiring an Ontario Corporation Number (OCN).
