Ontario updates Ontario Not-for-Profit Corporations Act (“ONCA”) forms and non-profits should use new forms

The Ontario government has sent out a notice that they have updated a number of the ONCA forms.  When preparing an ONCA form always try to use the most up-to-date form.  Other forms than the ones mentioned below have also recently been updated.

Three forms have been updated in the Central Forms Repository. Changes include refined wording to ensure they provide clear instructions, match legislative requirements, and specific fields made mandatory

Specific changes are listed below:

·        Form 5272 & Instructions – Articles of Amalgamation – Not-for-Profit Corporations Act, 2010

·        Text in section 9 “Amalgamation Documents” updated from “Statutory declarations” to “Director/Officer Statements”.

·        Note: the OBR interface is tentatively scheduled to reflect this change by April 10th, 2024.

·        Form 5284 & Instructions – Initial Return/Notice of Change/Annual Return by an Ontario Corporation – Corporations Information Act

·        The following was added as new information under Section 3 when selecting either Notice of Change or Annual Return:

·        “An official email address is required for administrative purposes and must be kept current. If you are not sure a primary activity code (NAICS code) was already provided, please provide one or the form will be returned if a primary activity code is not in the Ministry’s record”.

·        Form 5285 & Instructions – Initial Return/Notice of Change/Annual Return for an EP Foreign with Share – Corporations Information Act

·        Commenced activity date field now appears as mandatory in section 3 when Notice of Change or Annual Return is selected.
